IMPORTANT NOTICE

By creating an account, accessing the Platform, or authorizing your team members to use it, you agree to these Terms and Conditions and the TCC Campus Privacy Policy.

1. Acceptance of Terms

These Terms and Conditions constitute a legally binding agreement between the Client and CareerSage Consultants Private Limited ("TCC"/"The Career Company") governing access to TCC Campus (https://tcccampus.com).

If you do not agree to these Terms, you must not access or use the Platform. If you accept these Terms on behalf of an institution, you represent that you have authority to bind that institution.

2. Definitions

  • Authorized User: Individual granted access by Client Super Admin.
  • Client Data: Data entered/uploaded/generated in Client tenant.
  • Confidential Information: Non-public business, technical, operational, and data information.
  • Credits: Units used to unlock TCC Database records.
  • Plan: Subscription tier selected by Client.
  • Subscription Term: Active paid duration of service.
  • TCC Database: Proprietary company and recruiter contact database maintained by TCC.
  • Tenant: Client's isolated workspace on the Platform.

3. Platform Description and Scope

TCC Campus is a B2B SaaS platform for campus placement teams. Modules may include outreach CRM, activity logging, pipeline/funnel analytics, team management, batch profile microsites, TCC Database access, and audit logging.

Available features depend on the subscribed Plan.

4. Account Registration and Access

4.1 Tenant Provisioning

TCC provisions a tenant upon subscription/service agreement. Super Admin receives credentials and manages onboarding.

4.2 Account Security

Client is responsible for credential safety, unique accounts, prompt deactivation of inactive users, and reporting unauthorized access.

4.3 Institutional Email Requirement

Super Admin should use institutional email; TCC may require institutional verification for security.

5. Subscription Plans, Fees, and Payment

5.1 Plans and Pricing

Plan scope, limits, and included credits are defined in pricing/order forms. Pricing updates are notified with 30 days notice and apply on renewal.

5.2 Payment Terms

Fees are in INR and exclusive of GST. Late payments may attract up to 1.5% monthly interest (or legal maximum, whichever is lower).

5.3 Non-Payment and Suspension

If overdue beyond 30 days, TCC may suspend access after notice. Client data remains preserved during suspension.

5.4 Refund Policy

Fees are generally non-refundable except as required by law or uncured material service failure. Used credits are non-refundable.

6. TCC Database - Terms of Use

6.1 Nature of the TCC Database

TCC Database is a proprietary dataset sourced from publicly available information and TCC relationships.

6.2 Credit-Based Access

Access is credit-governed. Credits expire with subscription term unless explicitly agreed otherwise.

6.3 Accuracy and Disclaimers

TCC uses reasonable efforts but does not guarantee complete accuracy or currency of all recruiter/company details.

6.4 Restrictions on Use

  • No resale, redistribution, sublicensing, or unauthorized bulk export.
  • No spam, illegal use, or use unrelated to campus placement.
  • Violation may result in immediate termination without refund.

7. Data Ownership and Intellectual Property

7.1 Client Data Ownership

Client retains ownership of Client Data. TCC processes it only to deliver contracted services.

7.2 TCC Intellectual Property

TCC owns platform software, architecture, TCC Database, documentation, and branding.

7.3 Feedback

TCC may use client feedback for product improvement without additional obligation.

8. Client Obligations and Acceptable Use

  • Use platform only for lawful campus placement operations.
  • Ensure all authorized users comply with Terms and Privacy Policy.
  • Obtain required consents before uploading personal/student data.
  • No reverse engineering, malicious code, or unauthorized tenant access.
  • No commercial resale or sublicensing without written approval.

9. Student Data and Batch Profile Microsites

9.1 Client Responsibility

Client must obtain informed consent before publishing student data through microsites.

9.2 Scope of Consent

Consent must cover categories of data, public URL nature, sharing method, and rights for correction/removal.

9.3 Indemnification

Client indemnifies TCC for claims from missing consent, unlawful uploads, or legal violations.

9.4 Student Data Removal

Super Admin can remove student records directly. If unresolved, TCC may remove after escalation timeline.

10. Confidentiality

Both parties will protect non-public information and use it only for obligations under these Terms. Confidentiality obligations survive for 3 years after termination.

11. Warranties and Disclaimers

11.1 TCC Warranties

TCC warrants substantial conformity with documentation, commercially reasonable uptime efforts, and industry-standard security controls.

11.2 Disclaimers

Except as expressly stated, Platform is provided "as is" and "as available" without implied warranties.

12. Limitation of Liability

Aggregate liability is capped at fees paid in the previous 12 months before the triggering event, subject to applicable legal exceptions.

TCC is not liable for indirect, incidental, special, consequential, or punitive damages to the maximum extent permitted by law.

13. Indemnification

13.1 By Client

Client indemnifies TCC for third-party claims resulting from client breaches, unlawful use, consent failures, or data misuse.

13.2 By TCC

TCC indemnifies Client for third-party claims that the platform infringes IP rights under Indian law.

14. Term, Termination, and Suspension

14.1 Subscription Term

Subscription begins on tenant provisioning and renews unless non-renewal notice is given at least 30 days before term-end.

14.2 Termination for Cause

Either party may terminate for uncured material breach, insolvency events, or material legal violation.

14.3 Effect of Termination

Access is suspended, data export available during retention window, unused credits forfeited, and microsites taken offline.

14.4 Survival

Data ownership, confidentiality, disclaimers, liability limits, indemnity, and dispute provisions survive termination.

15. Service Levels and Support

15.1 Availability

Commercially reasonable efforts toward 99.9% monthly uptime excluding scheduled maintenance windows.

15.2 Support

Support via saarthi@thecareercompany.in during business hours. Enterprise clients receive priority handling.

15.3 Planned Improvements

TCC may update features and will provide advance notice for material changes.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of India.

16.2 Dispute Resolution

Disputes follow a staged process: good-faith negotiation, mediation, and then arbitration under the Arbitration and Conciliation Act, 1996 at Vadodara, Gujarat.

16.3 Jurisdiction

Subject to the above process, courts at Vadodara, Gujarat have exclusive jurisdiction.

17. General Provisions

  • Entire Agreement: Terms + Privacy Policy + service documents form complete agreement.
  • Severability: Invalid provision does not invalidate remaining terms.
  • Waiver: Delay/failure to enforce does not waive rights.
  • Assignment: Client assignment requires consent; TCC may assign in merger/acquisition scenarios.
  • Force Majeure: No liability for events beyond reasonable control.
  • Notices: Formal notices via designated email addresses.
  • No Third-Party Beneficiaries: Rights enforceable only by parties to Terms.
  • Relationship: Independent contractors; no partnership/agency/employment created.
